KRFT Ops terms of service
These terms of service (the "Terms") govern the use of KRFT Ops (the "Service"), provided by Spring Theories G.K. ("we", "us" or "Spring Theories"). A business that uses the Service does so on the basis of these Terms. The Terms are drawn up in Japanese; this English text is provided for convenience, and the Japanese version prevails.
1. Definitions
In these Terms, the following words have the following meanings.
- "Service" means the software service we provide under the name KRFT Ops to support order taking, stock, deliveries, invoicing and related work, including the iOS and Android applications, the website at ops.krft.world, the features reached through the "KRFT Ops" LINE official account, the AI assistant, and the connection to AI services the Customer chooses.
- "Customer" means the company or sole proprietor (a brewery or another producer) that accepts these Terms and uses the Service.
- "Member" means an officer, employee or other person whom the Customer allows to use the Service through an account attached to the Customer.
- "Administrator" means a Member whom the Customer has authorised to accept these Terms on its behalf, to invite and remove Members, and to manage the subscription.
- "KRFT account" means the account we provide, shared between the KRFT app and the Service.
- "Customer data" means the data the Customer or its Members enter into or send to the Service, or generate through it, including client records, product records, stock, orders, 納品書 and 請求書 data, and the messages of linked LINE groups.
- "AI assistant" means the feature of the Service that drafts orders and makes other suggestions from Customer data and Members' input.
2. Scope and acceptance
These Terms apply to every aspect of the relationship between us and the Customer concerning the Service.
The Customer accepts these Terms when an Administrator accepts them in the Service. The Administrator represents and warrants that they have the authority to accept these Terms on the Customer's behalf.
Creating and using a KRFT account is governed by the KRFT terms and conditions (https://krft.world/terms). Where these Terms and the KRFT terms and conditions differ with respect to the Service, these Terms prevail.
The prices, usage limits and other specific conditions we publish in the Service or on our website form part of these Terms.
These Terms are drawn up in Japanese. Where a translation we provide for convenience differs from the Japanese text, the Japanese text prevails.
3. Accounts and Members
Using the Service requires a KRFT account. A Customer starts using the Service in one of three ways: by an invitation we issue to it; by signing itself up on the page we provide; or, for a brewery already listed on KRFT, by a claim made in the form we provide and accepted by us.
The person who signs up or makes a claim represents and warrants that they have authority to accept these Terms and to enter into the subscription on behalf of the Customer. We may ask for documents to verify a sign-up or a claim, and we may decline a claim. Files attached to a claim are deleted when we accept or decline it. If a sign-up or a claim proves to be inaccurate, we may withdraw it and terminate the subscription.
An Administrator can add Members by issuing invitation codes, assign roles (administrator, sales, production, operator) and remove Members.
The Customer is responsible for its Members' use of the Service as if it were its own.
The Customer and its Members must keep account details and invitation codes safe and must not let third parties use them. If misuse is suspected, they must inform us without delay.
The Customer must keep the details it registers in the Service (name, address, billing email address and the like) accurate and up to date.
4. Fees and free period
The fees for the Service are the monthly or yearly amounts we publish on our website or in a quotation, consumption tax included. We are a tax-exempt business under the Japanese Consumption Tax Act and hold no qualified invoice issuer registration number. Our invoices state the amount of consumption tax contained in the fee.
The Customer may use the Service free of charge from the start date until the last day of the month in which the 30th day falls, the start date counting as day one (the "free period"). The "start date" is the day of the sign-up for a Customer that signs itself up, the day we accept the claim for a Customer that makes a claim, and the day we make the Service available for normal use for a Customer we invite. On the start date, we show the Customer in the Service the day the free period ends.
The free period is granted once per Customer. We may extend a Customer's free period in individual cases; an extension is not a second free period.
During the free period, the Customer uses the Service with the AI assistant, whatever the plan it has chosen. The limits on AI assistant and LINE interactions during the free period are the free-period limits we show in the Service or on our website. The plan the Customer has chosen, and its limits, apply from the day after the free period ends.
For a Customer we invited, paid use begins on the day after the free period ends.
For a Customer that signed itself up or made a claim, paid use begins on the day after the free period ends only if the Customer has confirmed in the Service, by the last day of the free period, that it continues. Without that confirmation, the subscription ends on the last day of the free period and no fee is due; the Service then becomes read-only, and Customer data is handled as article 7 provides.
A Customer whose subscription ended in this way may restart it in the Service, on the plan it chooses. A restart does not grant a new free period: paid use begins on the day of the restart, and we issue on that day the invoice for one full month. Later billing periods renew each month on the same day of the month (or on the last day of a month that has no such day).
At any time during the free period, the Customer may end it and begin paid use, by the procedure provided in the Service. The free period then ends on that day, the plan the Customer has chosen applies from that day, and we issue on that day the invoice for one full month. Later billing periods renew each month on the same day of the month (or on the last day of a month that has no such day).
For the first 25 Customers, in the order in which they start using the Service, we take 25% off the fee on their first six paid invoices (the "launch discount"). A place is reserved on the start date and is released if the free period ends without the Customer's confirmation; a Customer that then restarts is given a place again only if one is still available at that time. The launch discount stays when the Customer changes plan and does not apply to a subscription restarted after a cancellation. We notify the Customer at least one month before the discount ends.
We may revise the fees. We then announce the revised fees and their effective date before that date, in the Service or on our website, or by a notice to the Customer. The revised fees apply from the first billing period that starts on or after the effective date.
5. Invoicing and payment
On the first day of each monthly billing period we issue an electronic invoice for that period to the billing email address the Customer has registered. For a yearly subscription, the invoice for the year is issued on the first day of the yearly period.
The Customer pays each invoice within 30 days of its issue date by one of the following means.
- Bank transfer to the account we designate. Transfer fees are borne by the Customer.
- Credit card through our payment provider (Stripe). Where the Customer has registered a card, it is charged automatically on the due date.
Fees already paid are not refunded, except where these Terms provide otherwise. Yearly fees are not refunded when the subscription ends during the yearly period.
If the Customer has not paid by the due date, we may, after notifying the Customer, switch the Service to read-only from the fourteenth day after the due date until payment is confirmed. In read-only mode, Customer data can be viewed and exported, but nothing new can be recorded and the AI assistant makes no suggestions. Once payment is confirmed, we restore normal use promptly.
We never delete Customer data because of unpaid fees.
If payment remains overdue for a substantial period, we may terminate the subscription after giving the Customer a reasonable period to pay.
6. Term and cancellation
The subscription begins on the day an Administrator accepts these Terms and continues until it is cancelled or terminated.
The Customer may cancel at any time, either from the subscription management page reached from the Service (the Stripe customer portal) or by email to info@krft.world. A monthly subscription ends on the last day of the monthly billing period, already paid for, that is running when the cancellation is made; a yearly subscription ends on the last day of the yearly period already paid for.
Fees up to the day the cancellation takes effect remain payable in full.
7. Customer data
Rights in Customer data belong to the Customer. We process Customer data to the extent needed to provide, maintain, protect and improve the Service.
The Customer represents and warrants that it holds the rights and consents needed to enter Customer data into the Service and to have us process it, including with respect to its clients' details and the participants of linked LINE groups.
When the Customer loads a document (a file or a link) in the Service, or gives one to us, to bring its existing data into the Service (clients, products, stock and the like), we may have an AI model read that document to prepare the import. The model is run by an external AI provider acting on our behalf, and the whole content of the document may be sent to that provider. The provider and what it does are set out in our privacy policy (https://ops.krft.world/privacy).
We show the Customer what the import would record, and nothing is recorded as Customer data until the Customer has reviewed and approved it. What an AI model reads from a document may contain errors. The Customer reviews the import before approving it and is responsible for what it approves.
Where the document contains personal information, such as the names and contact details of the Customer's clients, the representation and warranty in the second paragraph of this article applies to the document as well. We handle the document on the Customer's behalf, only to the extent needed for the import.
We may use statistics derived from Customer data, in a form that does not identify any Customer, to improve the Service and for our business.
The Customer may ask us at any time, including when the subscription ends, for an export of its Customer data. Within 30 days of the request, we provide files of client, product, order and invoice data in the format we define (CSV), together with PDFs of the documents issued in the Service, by a means we specify.
After the subscription ends, we keep Customer data available to the Customer in read-only mode for at least 30 days, and we delete it 12 months after the end date, except where the law requires us to keep it. Copies held in backups are erased in the course of our normal operations.
The Customer keeps the 請求書 and other documents produced by the Service for the period the law requires, under its own responsibility.
8. AI assistant and connected AI
The AI assistant drafts orders, answers questions about stock and clients, and makes other suggestions from Customer data and Members' input. A suggestion becomes an order or another record only once a Member has reviewed and approved it in the Service.
The AI assistant's output may contain errors. The Customer reviews a suggestion before approving it and is responsible for what it approves.
The AI assistant does not provide tax, legal, accounting or other professional advice.
The number of AI assistant and LINE interactions is limited, for each plan, per calendar month (Japan time). The limits are shown in the Service and on our website. Once a limit is reached, the AI assistant's answers and its drafts from LINE messages stop until the first day of the next month; the rest of the Service, and a connected AI, remain available.
When the Customer moves to a higher plan, the limit of the month of the change is raised in proportion to the days left in that month.
When we reduce a limit, we announce the reduced limit and its effective date before that date, in the Service or on our website, or by a notice to the Customer. The reduction applies from the first billing period that starts on or after the effective date.
The AI assistant's replies are generated with an external AI provider acting on our behalf. Details are set out in our privacy policy (https://ops.krft.world/privacy).
The Customer may connect an AI service of its choice (a "connected AI") to the Service through the connection we provide. A connection acts within the rights of the Member who authorised it, and stops working when that Member no longer has access to the Service.
A record is made through a connected AI when the confirmation of a proposal the connected AI prepared is sent through the connection. Orders and other records confirmed through a connection are treated as records the Customer made itself, whether a Member or the connected AI sent the confirmation, and the Customer is responsible for their content.
A connected AI's output may contain errors. We give no warranty about a connected AI's behaviour, output or availability, and we are not liable for loss arising from them. Our liability for loss arising from the Service itself is governed by article 17.
A connected AI is used under the contract between the Customer and its provider and is not one of our subcontractors (article 18). The Customer data a connected AI reads through a connection is processed by that provider under that contract.
9. Documents
The 納品書, 請求書 and other documents produced by the Service are documents the Customer issues in its own name. The Customer is responsible for their content, issue, delivery and retention.
Whether the Customer must register under the qualified invoice system (インボイス制度), obtaining a registration number, and whether the documents' particulars comply are matters the Customer verifies itself. We give no warranty in that respect.
10. LINE integration
The Customer may link LINE groups it manages or takes part in to the Service. Messages posted in a linked group are brought into the Service through our LINE official account and used by the AI assistant to draft orders.
The Service posts no messages in linked groups. One-to-one exchanges between a Member and the Service are limited to the steps by which a Member links their own account.
Before linking a group, the Customer informs its participants that their messages will be brought into the Service and obtains any consent required.
Use of LINE is governed by the terms set by LY Corporation. We accept no liability where the LINE integration becomes unavailable because of a change to LINE, an outage or a similar cause.
11. Prohibited conduct
In using the Service, the Customer and its Members must not do any of the following.
- Break the law or act against public order and morals.
- Infringe the intellectual property, privacy or other rights of Spring Theories or of a third party.
- Copy, modify or reverse engineer the Service's software, or resell, lend or sublicense the Service.
- Gain unauthorised access to the Service, place an excessive load on it, or otherwise interfere with its operation.
- Impersonate another Customer or a third party, or attempt to reach data they are not authorised to see.
- Use the AI assistant to generate large volumes of output unrelated to the purpose of the Service.
- Do anything else we reasonably consider inappropriate.
12. Suspension and termination
If the Customer or a Member breaches these Terms, or where it is necessary for the safe operation of the Service, we may suspend all or part of the Service after giving notice. In an emergency, notice is given afterwards.
We may terminate the subscription without prior demand where the Customer:
- commits a material breach of these Terms that cannot reasonably be expected to be cured;
- suspends payments, or is the subject of a petition for bankruptcy or a comparable proceeding;
- breaches the representation in article 16 (Exclusion of anti-social forces).
We are not liable for loss the Customer suffers because of a suspension or termination, except where it results from our wilful misconduct or gross negligence.
13. Provision, changes and discontinuation of the Service
We provide the Service as it stands at the time. We do not warrant that the Service will be free of interruptions, errors or defects, or that it will suit a particular purpose of the Customer.
We may interrupt the Service temporarily for maintenance, to respond to an incident, when a third-party service we rely on is unavailable, or for another unavoidable reason. We endeavour to announce planned maintenance in the Service in advance.
We may add, change or withdraw features of the Service. A change that materially disadvantages the Customer is announced, with its effective date, before that date, in the Service or on our website, or by a notice to the Customer.
If we discontinue the Service, we notify the Customer at least 90 days in advance, and the discontinuation date is the last day of a month. In that case, for a yearly fee, we refund one twelfth of it for each month remaining after the discontinuation date; no other fee already paid is refunded.
14. Intellectual property
The intellectual property in the Service, including its software, its design, its document templates and the names and marks "KRFT" and "KRFT Ops", belongs to us or to our licensors. These Terms grant the Customer a non-exclusive right to use the Service and transfer or grant no other right.
We may use feedback and suggestions the Customer gives us about the Service to improve it, without owing the Customer anything for it.
15. Confidentiality
Neither we nor the Customer discloses to a third party, without the other's prior written consent, information received from the other in connection with the Service that is marked confidential or is evidently confidential by nature, including Customer data and individually agreed fees, and neither uses such information for any purpose other than using or providing the Service. This does not apply to disclosure required by law, or to disclosure we make to our subcontractors under these Terms.
16. Exclusion of anti-social forces
Each of us and the Customer represents that it is not an organised crime group, a member of one, or a comparable person or entity ("anti-social forces"), that it has no relationship with anti-social forces, and undertakes that this will remain so. If the other party breaches this representation, either of us may terminate the subscription without prior demand.
17. Disclaimer and limitation of liability
Except in cases of our wilful misconduct or gross negligence, we are not liable for lost profits, indirect or special loss, or loss caused by the loss or alteration of Customer data, arising from the use of or inability to use the Service.
Where we are liable to the Customer, our liability is capped, except in cases of our wilful misconduct or gross negligence, at the total fees the Customer paid us in the 3 months preceding the event giving rise to the loss.
We are not a party to the transactions between the Customer and its clients, including orders, deliveries, invoices and payments, and accept no liability for them.
18. Subcontractors and third-party services
To provide the Service we use third-party services for cloud infrastructure, AI models, messaging, payments, search and maps, and we entrust the processing of Customer data to those providers to that extent. The providers and what they process are set out in our privacy policy (https://ops.krft.world/privacy).
19. Changes to these Terms
We may change these Terms. The changed Terms apply from their effective date, after we have announced the content of the change and its effective date in the Service or on our website. A change that disadvantages the Customer is announced at least 30 days before its effective date. However, the timing of the announcement of a fee revision (article 4), a reduction of usage limits (article 8) or a change to features (article 13) follows the article concerned.
When we issue a new version of these Terms, an Administrator may be asked to accept it again in the Service.
A Customer that does not agree to a change may cancel the subscription before the change takes effect.
20. No assignment
The Customer may not assign, or pledge as security, its position or its rights and obligations under these Terms to a third party without our prior written consent.
If we transfer the business relating to the Service to a third party, we may transfer with it our position, rights and obligations under these Terms and the Customer data, and the Customer consents to this in advance.
21. Notices
Notices from us to the Customer are given in the Service or by email to the address the Customer has registered, and are deemed received when sent. Notices from the Customer to us are sent by email to info@krft.world.
22. Governing law and jurisdiction
These Terms are governed by and construed in accordance with the laws of Japan. The Tokyo District Court has exclusive jurisdiction in the first instance over any dispute between us and the Customer relating to these Terms or the Service.
23. Severability and good faith
If part of these Terms is held invalid or unenforceable under the law, the rest remains in force. Matters not covered by these Terms, and doubts about their interpretation, are resolved between us and the Customer in good faith.
